General Terms and Conditions of Sale – Rhino Machines

 

1. Seller Identification

The company Rhino Machines (hereinafter referred to as “the Seller”), registered with the Lille Métropole Trade and Companies Register under number 908 838 469, with a share capital of €4,500, has its registered office at 4 Avenue Pierre Mauroy, 59280 Armentières, France.

2. Scope and Availability of the Terms and Conditions

These General Terms and Conditions of Sale (GTC) apply to all sales of products or services by the Seller, whether directly to customers or, if applicable, via its website or authorized third-party platforms.
As of today, orders are primarily made through direct contact and quotation. No online sales via e-commerce or marketplaces (such as LeBonCoin, eBay, etc.) are currently offered. However, the Seller reserves the right to use these sales channels in the future, in which case these GTC will also apply.

In accordance with applicable law, these GTC are available on the Seller’s website and may be provided upon request to any professional buyer. They may also be attached to any quote or purchase order issued by the Seller, so that the Customer can review them before placing an order.
Placing an order implies the full and unconditional acceptance of these GTC by the Customer (hereinafter referred to as “the Customer”), whether acting as a professional or a consumer.

3. Orders and Contract Formation

Rhino Machines ensures transparent support after the order, within the limits of its availability:
• A confirmation of order is usually sent upon receipt of payment.
• The Customer is informed of the main steps: manufacturing, preparation, shipment.
• A dedicated contact person may be reached for any questions, subject to business hours and availability.

All orders must be preceded by a quote or commercial offer issued by the Seller.
The sale is considered final only after:
• Payment or express written acceptance of the quote by the Customer (e.g., signature or approval by email), and
• Confirmation of acceptance by the Seller.

Once accepted by the Seller, the order is final and binding: the Customer cannot cancel it without the Seller’s written consent. In case of agreed cancellation, the Seller may require compensation for incurred costs or damages.

The Seller reserves the right to refuse or suspend an order in case of unresolved disputes with the Customer, unpaid previous invoices, or insufficient financial guarantees.

If the Seller sets up an online ordering system or sells via marketplaces in the future, the specific terms of those orders will be detailed on the respective platforms. In any case, such sales will also be governed by these GTC.

4. Prices

Prices are stated in euros (EUR) and are exclusive of taxes (excl. VAT) unless otherwise specified. Taxes (including VAT at the applicable rate) will be added to the net price.
The applicable prices are those in force on the day of the order, as shown in the validated quote or in the Seller’s price list.

Unless otherwise agreed, quotes have a limited validity period (generally indicated on the quote, e.g., 30 days). Beyond this period, the Seller reserves the right to adjust prices. Prices may be revised due to specific economic conditions or changes in the scope of the order.

5. Terms and Conditions of Payment

5.1. Payment Security:
Once payment (deposit or balance) is received, Rhino Machines undertakes, within its means, to ensure order follow-up until delivery.
In case of unforeseen difficulty beyond its control, the Customer will be informed as soon as possible to find a solution together (adjusted delivery time, alternative, or refund if delivery is impossible).

5.2. Payment Deadline:
Unless stated otherwise, payment is due in full upon order or invoice receipt. A deposit may be required at the time of order, with the balance payable before delivery or at the agreed due date.
Specific payment terms may be granted to professional clients, within legal limits.

5.3. Accepted Payment Methods:
• Bank check (from a bank located in France), payable to Rhino Machines.
• Bank transfer (IBAN provided on the invoice).
• Credit/debit card via secure terminal or link (if available).
• Cash (up to €1,000 per transaction, per legal limits).
• Installment payments: The Seller may offer payment in installments via a financial partner, subject to acceptance of the financing application. Terms will be specified case by case.

5.4. No Discount for Early Payment:
Unless otherwise agreed, no discount is granted for early payment.

5.5. Late Payment:
In case of late payment beyond the due date, late penalties will automatically apply. The rate is set at three times the legal interest rate, calculated per day of delay.
Additionally, a €40 fixed recovery fee is due for professional clients (Article L441-10 of the French Commercial Code). If actual recovery costs exceed this amount, the Seller may request additional compensation.

Failure to pay any invoice will render the total balance of all outstanding invoices immediately due, without prejudice to the Seller’s right to suspend or cancel current orders.

6. Delivery and Transfer of Risk

6.1. Delivery Terms:
Delivery conditions (lead times, location, transporter, installation, Incoterm) are agreed case by case and stated in the quote or order confirmation.
Delivery times are indicative but the Seller strives to meet them. In case of force majeure or logistical difficulties, the Customer will be promptly informed and a new delivery date proposed.

6.2. Transfer of Risk:
For consumers, risks are transferred upon physical receipt of the goods.
For professional clients, unless otherwise agreed, risks are transferred when the goods are handed over to the carrier or made available at the Seller’s premises.
The Customer must check the goods upon receipt and notify the Seller of any visible issues within 48 hours.

6.3. Product Acceptance:
After this period, goods are deemed compliant unless hidden defects are proven. In case of non-conformity reported within the deadline, the Seller will replace or repair the product at no cost.

7. Retention of Title

The Seller retains full ownership of the goods until full payment of the price. In case of non-payment, the Seller may reclaim the goods at the Customer’s expense.
Despite this clause, the transfer of risks occurs upon delivery as per article 6.2.

The Customer agrees not to resell or modify the goods until full payment and to insure them against all risks.

8. Legal and Commercial Warranty

8.1. Legal Warranties (Consumers):
• Legal warranty of conformity (Articles L217-3 et seq. of the French Consumer Code):
Valid for 2 years from delivery. The Customer can request repair, replacement, or refund if the product is non-conforming.
• Warranty for hidden defects (Articles 1641 to 1649 of the French Civil Code):
Valid for 2 years from discovery of the defect. The Customer can return the product for refund or keep it with a price reduction.

These legal warranties apply regardless of any commercial warranty.

8.2. Commercial Warranty (All Clients):
Rhino Machines offers a 24-month commercial warranty from the date of delivery, covering defects or failures under normal use. Repair or replacement is offered; failing that, a refund may be proposed.

Excluded: damage from misuse, negligence, normal wear parts (belts, filters, batteries…), or unauthorized repairs.

This warranty is in addition to the legal warranties mentioned in 8.1.

9. Right of Withdrawal (Consumers)

Applicable to consumers purchasing remotely (online, by phone…).
Consumers have 14 days to withdraw, starting from the day after product delivery.
To withdraw, the Customer must notify the Seller at contact@rhino-machines.com or by registered mail. The Customer must return the product at their expense, in original condition, within 14 days.

Exceptions:
No withdrawal is possible for custom-made products, goods likely to deteriorate quickly, unsealed software, etc., as per Article L221-28 of the French Consumer Code.

10. Personal Data (GDPR)

The Seller collects and processes personal data for order management, delivery, invoicing, and customer relationship management, in compliance with EU Regulation 2016/679 (GDPR) and French law n°78-17 (Informatique et Libertés).

The Customer has the right to access, rectify, delete, limit processing, and portability of their data, as well as the right to object to marketing. Requests can be sent to contact@rhino-machines.com.

12. Governing Law and Jurisdiction

These GTC are governed by French law. The contract language is French.

In case of dispute:
• Professionals: Exclusive jurisdiction of the courts of Lille Métropole, unless a mandatory law states otherwise.
• Consumers: May bring the case before any competent court under the French Code of Civil Procedure.

13. Final Provisions – Acceptance of the GTC

If any clause is declared null, the other provisions remain in effect.
Failure to enforce a right shall not constitute a waiver.

The Customer acknowledges having read and accepted these GTC without reservation.

In case of discrepancy between the French and English versions, the French version shall prevail.
